Inspired by his own grueling journey as a co-founder raising a million dollars in 2015, Goutam Rath along with Co-founder C.A Sougata Sengupta established Rolent Capital to be the champion of medium-scale industries. Under his leadership, the firm has rapidly scaled from its roots in Kolkata to a multi-city powerhouse—spanning Gujarat, Delhi, Bhubaneswar, and Mumbai—boasting a transaction portfolio exceeding 1,000 crores.
Rolent Capital Services specializes in sectors such as healthcare, chemicals, and food processing, operating within the crucial range of Rs 15 crores to Rs 500 crores per transaction value. Their approach is uniquely “impact-driven,” utilizing domain specialists and forensic experts to ensure every deal is rooted in operational reality. Prime Insights: Can you introduce your professional journey and highlight the milestones that shaped your career in transaction advisory and financial consulting?
I have accumulated two decades of consulting & sales experience. Ex PwC, Oracle, HP. Over the past decade, I have assisted numerous companies in their expansion efforts through acquisitions, collaborations, and mergers, particularly in the fields of healthcare services, food processing, and healthcare product manufacturing. Rolent Capital Services was instituted in 2018 and, in the last eight years, has built a portfolio of more than 1000 crore + in transaction value. Rolent Capital Services operates typically in the segment of Rs 15 crores to Rs 500 crores per transaction value across all sectors except real estate.
Prime Insights: What inspired you to specialize in transaction advisory, and how has your leadership approach evolved over the years?
I have had several experiences interacting with promoters of medium-scale companies who have tremendous potential to grow; however, they lack a proper strategic approach and especially funds to achieve their success. In one such firm I was a co-founder in 2015. I worked hard and faced huge challenges raising funds. Finally, after trying for over a year, we raised 1 million dollars through a group of investors. This experience gave me the inspiration that I should be of help to these medium-scale organizations and help them expand through raising funds or collaborations or through acquisitions. Also help medium-scale companies with succession issues to support them in transferring their enterprise to interested buyers who can help to scale it further.
Thus, Rolent Capital Services was born in Feb 2018 by a group of Engineers and Chartered accountants in Kolkata to provide strategic support to medium-level industries in their expansion journey. In the last few years Rolent Capital Services (RCS) has undertaken several transactions cutting across all segments. RCS has built a portfolio of more than 1000 crores, undertaking fundraising, mergers, and acquisitions in the last few years. RCS has evolved from doing transactions only in Kolkata to spreading in Gujarat, Delhi, Bhubaneswar & Mumbai. RCS has undertaken more than three NCLT IBC-led acquisitions as well. As the founder of RCS, I see that clients do value us for our transparent approach and domain expertise in the transactions that we take up along with the technicalities of the deal.
Prime Insights: How do you define “impact-driven advisory,” and how do you incorporate this philosophy into your engagements with clients?
RCS has undertaken around 7 deals in the last couple of years, helping hospital chains acquire smaller or debt-ridden hospitals, providing much-needed finance, and securing synergies for the revival of the acquired units. This has directly impacted and benefitted the society. RCS has also assisted a specialty chemical/API unit in Baroda, Gujarat, by facilitating a joint venture that involved a partial equity sell-out to raise funds. This unit is providing an alternative source of APIs required for paracetamol production, thereby reducing dependency on China, which typically supplies this API.
Prime Insights: What key challenges do businesses face today during mergers, acquisitions, restructuring, or fundraising, and how do you help them navigate these complexities?
Key Challenges:
Promoters usually have a high valuation expectation, which affects their ability to sell a part or the whole of their firm. Promoters need to understand that valuation is not something that is so subjective. It depends on the intrinsic value that the enterprise is offering, calculated on a scientific and more practical view. RCS has been able to balance both the expectations of the buyer and the seller successfully on most of the occasions.
Secondly, RCS deeply studies the details of the project that it takes up before it approaches potential buyers. RCS engages the relevant industry specialist to be a part of the transaction team, as RCS understands that the industry/domain specialist is the best person to judge the integrity of the project and also derive the best value that the project can offer.
Prime Insights: How do you ensure strategic alignment, risk mitigation, and value creation in every transaction you lead?

Prime Insights: What role do data analytics, technology, and digital tools play in enhancing transaction advisory outcomes?
In medium-scale transaction advisory, apart from data analytics, there is not much of a technology play. Recently, RCS has started using AI tools to analyze data.
Prime Insights: Can you share a success story where your advisory expertise delivered transformational results for a client?
In 2023, we assisted in acquiring an enterprise through the NCLT IBC process at a distressed rate of approx Rs 50 crores. Until 2025, RCS helped the buyer to revamp and make over the acquired enterprise and restart operations, thereby directly restarting the livelihood of around 250 people. The acquired enterprise is now worth over three times its original value, just two years later. i.e., around Rs 150 crs. The merger was an utterly transformational result for our client, besides a few others.

Prime Insights: What are your strategic priorities and growth plans for the next phase of your professional journey?
Response: We are expanding our team in Mumbai; we intend to take a few domain experts on in our role along with a few junior chartered accountants. Our focus will be healthcare, chemicals, and food processing. We also intend to undertake a few international joint ventures, i.e., cross-border transactions in which foreign companies want to set up factories or collaborate with genuine promoters in India. The transactions could be open market or through the NCLT IBC process.

Financial knowledge along with operational domain expertise is a must, and integrity/honesty is above all. Do not compromise on these aspects. It will help you to command control on the transaction and all concerned stake holders.
